OFFICIAL RULES

Eligibility: The 2021 Big Cash Giveaway promotion (the Promotion) is open to all Automotive Parts Associates (APA) Shareholders’ customers that are legal residents of the United States and Canada (excluding Quebec) who are 18 years of age or older and located in the Territory at the time of entry. Automotive Parts Associates (APA) Shareholders and Other Shareholders (Shareholders), Promotion Sponsors, APA Shareholder Employees including subsidiaries and affiliated companies, retailers, sales representatives, dealers, distributors, advertisers, fulfillment and their immediate family members and persons living in the same households of each (whether related or not) are not eligible to participate. The Promotion is subject to all applicable federal, state and local laws and is void outside the Territory and where prohibited by law.

Promotion Period: The Promotion will run for 60 days and begins at 8:00 am Central Standard Time (CST) on May 10, 2021 and ends at 11:59 pm CST on July 8, 2021 (the Promotion Period).

How to Enter:

In-Store Entry:During the Promotion Period, participating APA network stores will distribute one entry per qualified purchase of Sponsored product (Purchase Entry). Entrants must complete all required information. ONE ENTRY FOR EVERY SPONSORED PRODUCT PURCHASED.

Online Entry: During the Promotion Period, participating APA network stores will distribute one slip containing a six-digit alphanumeric entry validation code per qualified purchase of Sponsored product (Purchase Entry) Entrants must complete all required information. ONE ENTRY FOR EVERY SPONSORED PRODUCT PURCHASED.

Mail-in Entry: NO PURCHASE NECESSARY, legibly handprint your name, street address, city, state or province, zip or postal code, telephone number, complete e-mail address on a standard 3” x 5” index card and mail to: “APA 2021 Big Cash Giveaway,” Automotive Parts Associates, 10551 Lackman Road, Lenexa Kansas 66219. Requests must be received by July 8, 2021. APA assumes no responsibility for lost, late, misdirected, stolen, illegible, inaccurate, damaged, incomplete, non-delivered or postage-due mail; failures or malfunctions of any kind. ONE ENTRY PER MAIL-IN REQUEST.

By entering via in-store, online or mail-in, you consent to receive email announcements from Shareholders about upcoming promotions and Promotion Sponsors. You may unsubscribe or opt-out from these email announcements without affecting your chances of winning this Promotion, by clicking “unsubscribe” on the email communications should one be received. All entries become the exclusive property of Shareholders and Promotion Sponsors and will not be acknowledged or returned except as provided herein. Entries which are incomplete, incorrect, incomprehensible, not received, or do not otherwise comply with these Official Rules will be void and will not be entered into the Promotion’s prize drawing. Entries made by any other manner not specifically allowed or approved exception by the Promotion Administrator under these Official Rules will not be entered into the Promotion and may result in disqualification of the responsible entrant. You are not a winner until your prize claim is validated and you receive official notification from the Promotion Administrator and/or respective Shareholder.

Prize Drawings: On or about November 20, 2020, in Lenexa, Kansas, the Promotion Administrator will conduct a random drawing for three (3) First Prize Winners and one (1) Grand Prize Winner from among all eligible Purchase and Mail-in entries received during the entire Promotion Period.

Prize, Approximate Retail Value (“ARV”) & Odds of Winning: Total ARV of (1) Grand Prize: $5,000. Total ARV of (2) Second Place Prizes: $2,500 each. Total ARV of (6) Third Place Prizes: $1,000 each. Total ARV of (10) Fourth Place Prizes: $500 each.

Winners residing in the United States will be issued a Federal 1099 form, based on the Prize ARV.

Odds of winning a prize depend on the number of eligible entries received. Prizes will be awarded only to an address within the Territory provided they are claimed properly in accordance with these Official Rules.

Notification & Validation of Winners: Winners will be contacted by the APA Shareholder, and may be required to complete, sign and return an affidavit of eligibility, a liability release, tax forms, and where lawful, a publicity release within a stated amount of time. The return of any notification as undeliverable or failure to respond to notices or return any required documents or information in a timely manner or a determination that a potential winner is ineligible or not in compliance with these Official Rules, as determined solely by the Promotion Administrator, may result in disqualification of the winner and forfeiture of the corresponding prize, and the choosing of an alternate winner in a random drawing from among the remaining eligible entries.

Disqualification: Promotion Administrator reserves the right, in its sole discretion, to disqualify any individual who tampers with or attempts to tamper with the entry process, who acts in a disruptive or unfair manner.

Releases: By participating in this Promotion, entrants agree (and agree to confirm in writing): (a) all causes of action arising out of or connected with this Promotion, or any prize awarded, shall be resolved individually, without resort to any form of class action; (b) to release, defend, indemnify and hold harmless Promotion Parties, from and against any liability, loss, claim or cause of action, including, but not limited to, injury, death or damages arising out of participation in this Promotion or the acceptance, possession, use or misuse of any prize received in this Promotion; and (c) to waive all rights to claim punitive, indirect, incidental and consequential damages, attorneys’ fees, court costs, or any damages other than actual out-of-pocket costs incurred to enter, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO APPLICABLE PORTIONS OF THE ABOVE MAY NOT APPLY TO YOU.

Publicity: Except where prohibited, participation in the Promotion constitutes each entrant’s permission for the Promotion Administrator and its agencies to use entrants’ names, photos, voices and/or likenesses for purposes of advertising and publicity in all media now known or hereinafter invented without territorial or time limitations and without compensation or notice.

Privacy: The personal information collected through this Promotion is subject to Automotive Parts Associates Privacy Policy located at https://www.apa.parts/privacy. By entering this Promotion, you agree to the use of your personal information as described in these Official Rules, in the above Privacy Policy and as permitted by law. In the event there is a conflict between Sponsor’s Privacy Policy and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern and control. Your personal data will be collected in the USA. By entering this Promotion, you expressly consent to the transfer of your personal information to countries outside of your country of residence, including without limitation, the USA and Canada. As a result, your personal information may be subject to access requests from governments, courts, or law enforcement in those jurisdictions according to laws in those jurisdictions.This section does not limit any other consent(s) that an individual may provide the Sponsor or others in relation to the collection, use and/or disclosure of their personal information.

Choice of Law and Jurisdiction: This Promotion is offered only in the Territory and is governed by the laws of the State of Kansas. By entering, entrants irrevocably consent to the sole and exclusive jurisdiction of the courts of the State of Kansas located in the county of Johnson for any action, suit or proceeding arising out of or relating to this Promotion.

Severability & Conflicts: The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Promotion-related materials or made by any representative of Sponsor or Promotion Administrator, and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern and control.

Winners’ List: The Winners’ list for this Promotion will be available on the Automotive Parts Associates website News section. The list will be published after winner validation has been completed.
